User Agreement
The Shareyourwork (or Company) user Agreement is a legal document that explains your rights and responsibilities as a Shareyourwork member. You cannot become a Shareyourwork Member until you have accepted the terms of the Agreement.
This Agreement is your entire agreement with the Company and governs your use of the Shareyourwork web site (hereinafter referred to as "the Site" or "the Service").
Terms and Conditions
The following sets forth the terms and conditions of the Shareyourwork Membership Agreement between you (Member) and Shareyourwork (Company), under which Shareyourwork gives you access to the service. The term of this Agreement shall begin on the date and time of Member's acceptance of this Agreement as evidenced by Member's access to the Service and shall continue until such time as Member cancels membership as outlined in this Agreement. However, all rights and obligations of the respective parties hereto prior to Member's cancellation shall remain in full force and effect, including rights acquired by Company as the result of any and all Member submissions.
The Company may amend this Agreement at any time by posting the amended and restated Agreement on this Site. The amended and restated Agreement shall be effective immediately upon posting.
- Service
The Service will be offered free-of-charge and will have the following core features (which may be added to or modified, or suspended for scheduled or unscheduled maintenance purposes, from time to time at the sole discretion of the Company and notified to you):
- Ability to create and modify your personal profile;
- Ability to post your own designs, scripts and websites via a variety of forums for feedback from other Members;
- Ability to participate in a variety of interactions with other Members via the Site;
- Ability to generate various email communications via the Site to both Members and non-members.
- Ability to participate in a variety of contests, promotions and paid creative challenges.
- Adherence to Shareyourwork review process
You accept that Shareyourwork and any other user of the site can review and use the content you provide in accordance with these terms, including the terms of the Site Usage Requirements above.
- Trade Marks and Copy right
Member unconditionally guarantees that any elements of their submissions, including, but not limited to, text, graphics, photos, clipart, designs, trademarks, or other artwork submitted to the Company by Member for inclusion in their submission are owned by the Member, or that the Member has permission from the rightful owner to use each of these elements, and will hold harmless, protect and defend the Company and its subcontractors from any claim or suit arising from the use of such elements furnished by the Member.
- Non-violation of third party rights policy
You agree to keep a respectful manner and conduct, and in particular you agree not to post or hyperlink to content that contains unlawful material, obscenity or any form of pornography, or information that may be used to cause harm, threat, abusive, harassing, tortuous, defamatory, or obscene communications; or information that is invasive of another's privacy, such as including a person's name or recognizable description of a real person in an article. You further agree not to use the Site to "stalk" or otherwise harass any person, and not to impersonate any person or entity or otherwise misrepresent your affiliation with a person or entity.
- Compliance with Law
Member agrees to abide by, and comply with, all Federal, State and local laws. The Company is not responsible for the content of the Member's information or submission(s), and reserves the right to terminate this contract if the Member's actions, information or submission(s) content may violate Federal, State or local laws. The Member agrees that the Member is solely responsible for complying with such laws, taxes and tariffs, and will hold harmless, protect, and defend Company and its subcontractors from any claim, suit, penalty, tax or tariff arising from the Member's exercise of any Internet electronic commerce, including the receipt of cash prizes. Member is solely responsible for the payment of all applicable taxes that may be owed in connection with the use of this Site and the awarding of cash prizes, if any. The member agrees to provide the Company with any and all documentation required for reporting of cash prizes to government agencies for tax or other purposes.
- Inappropriate Content
The posting of offensive, indecent or otherwise inappropriate materials or communications on the Site is strictly prohibited. Company is solely responsible for determining what constitutes offensive, indecent or otherwise inappropriate materials or communications on its Site. By agreeing to the Terms and Conditions of this Agreement, Member hereby promises to comply with all provisions of the Agreement, including those pertaining to inappropriate content.
Specific Prohibited Uses include, but are not limited to the following:
- Post submissions using third party or custom developed software;
- Post submissions in inappropriate categories or areas;
- Use posting methods that intentionally undermines the design of the Site;
- Use posted email addresses, phone numbers or any blind box feature for the purposes of solicitation or any other purpose not directly related to the submission;
- Republish, store, "scrape", or collect data from the Site for any purpose;
- Upload, post, email, transmit or otherwise make available any content that is unlawful, harmful, threatening, abusive, libelous, or obscene;
- Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity;
- Forge headers or otherwise manipulate identifiers in a manner that disguises the origin of any content you transmit;
- Upload, post, email, transmit or otherwise make available any content that you do not have a right to make available under any law or under any contractual or fiduciary relationship (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements); or
- Upload, post, email, transmit or otherwise make available any content that infringes any patent, trademark, trade secret, copyright or other proprietary right of any party.
Company reserves the right, but not the obligation, to refuse to transmit or post and to remove or block any information or materials, in whole or in part, that it, in its sole discretion, deems to be offensive, indecent, or otherwise inappropriate, and regardless of whether this material or its dissemination is unlawful. Neither Company nor any of its affiliates, suppliers, or agents have any obligation to monitor transmissions or postings (including, but not limited to, e-mail, newsgroup, and instant message transmissions as well as materials available on the member profile and online storage features) made on the Service. However, Company and its affiliates, suppliers, and agents have the right to monitor these transmissions and postings from time to time for violations of this Policy and to disclose, block, or remove them in accordance with this Agreement and any other applicable agreements and policies.
- Agreement to view potentially controversial content: You understand and agree that by using the Site, you may be exposed to materials that you find offensive, indecent, or objectionable, and that the content may not be in accordance with the laws of your jurisdiction. You understand and acknowledge Shareyourwork is not responsible for the information, data, text or other materials that may appear in content submitted by third parties on the Site. Opinions expressed in such content do not necessarily reflect the opinions of Shareyourwork. Shareyourwork does not necessarily review the content prior to posting, and does not endorse or edit such content.
- Acknowledgement of liability waiver: You understand and agree that neither Shareyourwork nor any other user makes any warranty as to the value or quality of the content you read. Information posted on Shareyourwork is intended solely for educational and entertainment purposes, and is not intended to be used as or substituted for medical, legal, or other professional advice or counsel. You understand and agree that this Site and the information contained herein do not constitute the practice or provision of any health care, medical, legal or other professional services. You specifically agree that Shareyourwork is not responsible or liable for any threatening, defamatory, obscene, offensive or illegal content of any other party or any infringement by any other party of another's rights, including intellectual property rights.
- Disclaimer of obligation to police for legal infringements/waiver of certain liabilities: Shareyourwork shall make commercially reasonable efforts to provide security for its website, but will have no liability, vicarious, contributory, or otherwise, for any infringement of any of your intellectual property rights. You acknowledge that we do not control other users' actions, including but not limited to their use of your content. We will have no liability to you for any user's violation of these terms and no responsibility to you to enforce this Agreement for your benefit. You further understand and agree that Shareyourwork is not responsible for unauthorized access to or alternation of your transmissions or data, any material or data sent or received or not sent or received by you or Shareyourwork
- Indemnity
You agree to indemnify and hold Shareyourwork and its subsidiaries, affiliates, officers, agents, and employees, harmless from any claim, damage, expense or demand, including reasonable attorneys' fees, made by any third party due to or arising out of: (a) materials that you submit, post, or upload to the Site, (b) your use of the Site, (c) your connection to the Site, (d) your violation of this Agreement, (e) your violation of any rights of another party, or (f) violations to this Agreement or the rights of a third party by your dependents.
- Disclaimer of warranties
Shareyourwork makes no representations about the suitability, reliability, availability, timeliness, or lack of viruses or other harmful components of this Site, its content (whether Shareyourwork or user-submitted content), or its features, and disclaims all liability in the event of any service failure. You acknowledge that any reliance on such material and/or systems will be at your own risk, and Shareyourwork makes no warranties regarding any transactions entered into through the Site or any service. Shareyourwork also makes no representations regarding the amount of time that any content will be preserved.
- The entire agreement
This Agreement constitutes the entire agreement between you and Shareyourwork.net and governs your use of the Site and supersedes all prior or contemporaneous communications and proposals whether electronic, oral or written, between you and Shareyourwork with respect to the site and services. Both you and Shareyourwork acknowledge and agree that no partnership is formed and neither you nor Shareyourwork has the power or the authority to obligate or bind the other.
